Distance Sales Agreement and Pre-Contractual Information

1. Scope and Application
This agreement is concluded, under Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts, between the Provider and a Buyer who qualifies as a consumer and purchases a subscription or credits electronically through Xaly.ai.
Where the Buyer acts for commercial or professional purposes, consumer legislation does not apply and the relationship is governed by the Terms of Service and Subscription Agreement.
The Buyer confirms having read and acknowledged the information in this form before approving the payment step.

3. Buyer Details
The Buyer's name or company name, address, email and telephone are those declared at account registration and at the payment step. They form the basis of the order and the invoice, and the Buyer is responsible for their accuracy.
4. Essential Characteristics of the Service
The subject of this agreement is the purchase of a subscription plan or a prepaid credit balance for the Xaly.ai cloud software service, with the scope and duration shown at the payment step.
The plan name, included call minutes, term (monthly or annual) and total price are shown at the payment step and again in the confirmation email sent after payment. This form forms a single whole with the information shown on that screen.
The Service is digital content and a digital service; no physical delivery takes place.
5. Price, Taxes and Payment
The price is shown at the payment step in Turkish Lira as a total amount including taxes. Published list prices exclude VAT; VAT is added to the total at the payment screen.
Payment may be made by credit or debit card on the payment institution's secure page, by domestic bank transfer, or by international transfer (SWIFT). Card details are never seen or stored by the Provider.
Where instalments are offered on card payments, any interest applied by the bank is charged to the cardholder. Bank transfer and SWIFT charges are borne by the sender.
No additional charge beyond the order amount is requested from the Buyer.
6. Time of Performance
The Service is provisioned to the Buyer's account immediately upon approval of the payment by the payment institution, and in any event within twenty-four hours.
For bank and SWIFT transfers, provisioning takes place once the amount is credited to the Provider's account and the receipt is verified.
If the Service cannot be provided due to technical impossibility, the Buyer is informed immediately and the amount collected is refunded within fourteen days.
7. Right of Withdrawal
A Buyer who qualifies as a consumer has, as a rule, the right to withdraw within fourteen days from the conclusion of the contract, without giving any reason and without penalty.
Notice of withdrawal must be sent in writing within that period to info@voratrix.com or to the postal address stated above. Dispatch within the period is sufficient.
Where the right is validly exercised, the amount collected is refunded within fourteen days of the notice reaching the Provider, using the original payment method and at no cost to the Buyer. For card payments, the time for the amount to appear on the card depends on the bank.
8. Exception to the Right of Withdrawal (Important)
Under Article 15(1)(ğ) of the Regulation on Distance Contracts, the right of withdrawal does not apply to services performed instantaneously in an electronic environment or to intangible goods delivered instantaneously to the consumer.
Xaly.ai subscriptions and credit balances are digital services made available immediately upon payment approval. By approving this form at the payment step, the Buyer expressly consents to immediate performance and acknowledges that the right of withdrawal is lost once performance begins.
As a goodwill practice, the Provider will nevertheless consider refund requests made within seven days of purchase provided the Service has not been used at all (no calls, no messages, no credit consumption). This practice creates no entitlement and may be withdrawn unilaterally.
9. Cancellation, Refunds and End of Term
The Buyer may stop automatic renewal at any time in the Dashboard. Cancellation takes effect at the end of the paid period in progress; amounts paid for that period are not refunded and remaining time is not converted to cash.
No refund is given for services already used. Minutes used, messages sent and credits consumed are deducted from any refund calculation.
Credit balances cannot be exchanged for cash or transferred to third parties. The validity period of purchased credits is set out in the Terms of Service.
Where a material interruption attributable to the Provider is not remedied within a reasonable time, the corresponding amount is refunded on request or credited to the next period.
10. Default and Breach
If the bank or payment institution reports that a card has been used without authorisation, the Service is stopped immediately and the applicable legislation is followed.
If the Buyer fails to pay when due, the Provider applies the additional period and restriction steps set out in the Terms of Service, and may terminate the agreement if payment is not made by the end of that period.
11. Protection of Personal Data
Personal data processed in the ordering and payment process is handled as described in the KVKK Notice and the Privacy Policy. Card details are not processed by the Provider; they are collected on the payment institution's own infrastructure.
12. Dispute Resolution
The Buyer may bring complaints and objections arising from this agreement before the Consumer Arbitration Committee or the Consumer Court at the place of purchase or of the Buyer's residence, within the monetary thresholds set annually by the Turkish Ministry of Trade.
Where the Buyer does not qualify as a consumer, the jurisdiction clause of the Terms of Service applies.
13. Entry into Force
This agreement is concluded and takes effect when the Buyer approves it electronically at the payment step. A copy is sent to the Buyer's registered email address and remains accessible at all times through the Dashboard.
